1          Introduction

Welcome to the VCM International Trainer Scheme Platform (the "Platform"), owned and operated by V-CONNECT MEDICAL LIMITED ("VCM", "we", "us", or "our"), a company incorporated in the Hong Kong Special Administrative Region ("Hong Kong").

These Terms and Conditions ("Terms") govern your registration and use of the Platform as a medical professional ("Practitioner", "Doctor", "you"). By registering an account, you agree to be bound by these Terms.

2          Status of Practitioner

2.1        Independent Contractor: You acknowledge and agree that you are entering into this agreement as an independent contractor. Nothing in these Terms or your use of the Platform shall be construed to create an employer-employee, agency, or partnership relationship between you and VCM.

2.2        No Employment Benefits: You are not entitled to any employee benefits, including but not limited to MPF contributions, insurance, or paid leave from VCM.

3          Registration and Verification

3.1        Eligibility: You must be a qualified medical practitioner with a valid Annual Practicing Certificate (or equivalent) in your jurisdiction.

3.2        Profile Data: You agree to provide accurate, current, and complete information during registration, including your CV, professional qualifications, and a self-introduction video ("Video CV").

3.3        Verification: Your account is subject to approval by VCM Admin. We reserve the right to reject any registration at our sole discretion.

3.4        Account Security: You are responsible for maintaining the confidentiality of your login credentials.

4          The Services and Task Matching

4.1        Task Marketplace: Manufacturers registered on the Platform may post events, studies, or training tasks ("Tasks"). You may browse and apply for these Tasks via your Dashboard.

4.2        Binding Booking: Once you apply for a Task and are confirmed by the Manufacturer (via the Platform), a binding agreement is formed regarding your attendance and performance of services.

4.3        Communication: Upon confirmation of a Task, you agree to use the Platform's internal chatroom for all logistical coordination with the Manufacturer.

5          Fees, Points, and Annual Jackpot

5.1        Income Stream 1: Event Fees

5.1.1  Payment: VCM shall pay the agreed Event Fee (in USD) to you within 7–14 business days following the successful completion and Manufacturer confirmation of the Task.

5.1.2  Bank Charges: VCM covers the cost of sending funds. You are solely responsible for any receiving bank charges or intermediary fees deducted by your bank.

5.2        Income Stream 2: Annual Jackpot (Profit Sharing)

5.2.1  Mechanism: VCM operates a discretionary bonus pool ("Jackpot Pool") funded by a percentage of Manufacturer sales.

5.2.2  Points: You earn "Event Points" for completed Tasks (e.g., 4 Points for Overseas Symposium).

5.2.3  Calculation: Your share of the Jackpot is calculated annually based on the formula: (Your Total Points / Total Network Points) × Jackpot Pool Value.

5.2.4  Disclaimer: The Jackpot is a performance incentives scheme. The value of the Jackpot Pool varies based on Manufacturer sales performance and is not guaranteed.

5.2.5  Payment Timing: Calculated and paid annually after the close of the calendar year.

6          Cancellations and Penalties

6.1        Professional Commitment: You acknowledge that your confirmation of a Task is relied upon by Manufacturers for significant marketing and logistical planning.

6.2        Cancellation by Practitioner: You may not cancel a confirmed Task without a valid, documented emergency reason (e.g., medical emergency).

6.3        Penalty: In the event of an unjustified cancellation or "no-show," VCM reserves the right to: * Charge a penalty fee of USD 2,000 OR the full value of the Event Fee (whichever is higher); * Deduct points from your accumulated total; and/or * Suspend or terminate your account.

7          Exclusivity and Non-Circumvention

7.1        Platform Exclusivity: You agree that all negotiations, logistical arrangements, and payments regarding Tasks introduced through the Platform must be conducted exclusively through the Platform.

7.2        Non-Circumvention: You shall not solicit or accept direct payment or side-deals from Manufacturers introduced to you via the Platform for the purpose of avoiding Platform fees or Points tracking.

8          Intellectual Property and Content

8.1        License to VCM: By uploading your CV, photos, and Video CV, you grant VCM a non-exclusive, worldwide, royalty-free license to display, reproduce, and share this content with registered Manufacturers for the purpose of promoting your services.

8.2        Marketing Rights: If you engage in a "Clinical Photo" or "Clinical Study" Task, you acknowledge that specific usage rights regarding the resulting materials will be governed by the specific terms of that Task.

9          Confidentiality

You agree to keep confidential all non-public information obtained through the Platform, including Manufacturer sales data, unreleased product information, and specific fee structures.

10      Termination

10.1    By Notice: Either party may terminate this agreement with 30 days' written notice.

10.2    For Cause: VCM may terminate your account immediately if you breach these Terms, lose your medical license, or engage in conduct damaging to VCM's reputation.

10.3    Effect of Termination: Upon termination, any accumulated Points and entitlement to the pending Annual Jackpot are immediately forfeited.

11      Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
